Terms of Service

These Terms of Service ("Terms") govern your use of FretBox's campus management platform and services. By subscribing to or using our services, you agree to these Terms.

1. Definitions

• "FretBox," "we," "our," "us" refers to FretBox, the provider of the campus management platform.
• "Customer," "you," "your" refers to the university, educational institution, or organization subscribing to our services.
• "Platform" refers to the FretBox campus management software and all related services.
• "Users" refers to administrators, staff, students, and parents who access the Platform through the Customer's subscription.

2. Services

FretBox provides a cloud-based campus management platform that includes:

• Hostel and residential management
• Mess and food service management
• Gate security and access control
• Student lifecycle management
• Asset and infrastructure tracking
• Compliance and accreditation reporting
• Mobile applications for administrators and students
• Parent communication tools

The specific features available depend on your subscription plan and agreement with FretBox.

3. Account and Access

Account Creation: You are responsible for providing accurate information during account setup and maintaining the security of account credentials.

User Management: You control which Users have access to the Platform and at what permission levels. You are responsible for ensuring Users comply with these Terms.

Credentials: You must keep login credentials confidential. Notify us immediately of any unauthorized access.

4. Acceptable Use

You agree to use the Platform only for its intended purpose of campus management. You will not:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorized access to the Platform or other users' data
• Interfere with or disrupt the Platform's operation
• Upload malicious code or content
• Reverse engineer, decompile, or attempt to extract the Platform's source code
• Resell, sublicense, or provide access to the Platform to third parties without authorization
• Use the Platform to store or transmit content that infringes intellectual property rights

5. Data Ownership and Responsibilities

Your Data: You retain ownership of all data you upload to the Platform. You grant FretBox a license to host, process, and display this data solely to provide the services.

Data Accuracy: You are responsible for the accuracy of data entered into the Platform, including student, staff, and parent information.

Consent: You are responsible for obtaining necessary consents from students, parents, and staff for processing their data through the Platform.

Data Export: You may export your data from the Platform at any time.

6. Payment Terms

Payment terms, pricing, and billing cycles are specified in your subscription agreement. Unless otherwise agreed:

• Subscriptions are billed annually in advance
• Fees are non-refundable except as required by law
• We may revise pricing with 30 days notice before your renewal date
• Late payments may result in service suspension

7. Service Levels

We strive to provide reliable service with 99.9% uptime. Scheduled maintenance windows will be communicated in advance. We provide 24/7 support for critical issues. Specific service level commitments may be detailed in your subscription agreement.

8. Intellectual Property

The Platform, including its design, features, documentation, and underlying technology, is owned by FretBox and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Platform for your internal campus management purposes.

9. Confidentiality

Both parties agree to keep confidential information private. This includes your student data, our proprietary technology, and business information shared during the relationship. These obligations survive termination of the agreement.

10. Warranties and Disclaimers

We warrant that the Platform will perform materially as described in our documentation. Except for this limited warranty, the Platform is provided "as is." We disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose. We do not warrant uninterrupted or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by law, FretBox's liability for any claims arising from these Terms or use of the Platform is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data.

12. Indemnification

You agree to indemnify and hold FretBox harmless from claims arising from: (a) your use of the Platform, (b) your data, (c) your violation of these Terms, or (d) your violation of any third-party rights.

13. Term and Termination

Term: Your subscription continues for the period specified in your agreement and renews automatically unless cancelled.

Termination for Cause: Either party may terminate if the other materially breaches these Terms and fails to cure within 30 days of notice.

Effect of Termination: Upon termination, your access to the Platform ends. You may export your data within 30 days of termination. After this period, we may delete your data.

14. Changes to Terms

We may update these Terms from time to time. We will provide notice of material changes at least 30 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Noida, Uttar Pradesh, India. Before initiating legal proceedings, the parties agree to attempt resolution through good-faith negotiation.

16. General Provisions

• Entire Agreement: These Terms, along with your subscription agreement, constitute the entire agreement between the parties.
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
• Waiver: Failure to enforce any right does not waive future enforcement.
• Assignment: You may not assign these Terms without our consent. We may assign our rights to an affiliate or successor.
